What this committee does

The Bylaws Committee keeps the association's Amended and Restated Bylaws current. It reviews the bylaws on a regular cycle, works out where the text has fallen behind how Queen's Bench actually operates or behind California nonprofit law, and drafts proposed revisions for the Board and the membership to consider.

Proposed revisions are circulated to members ahead of the Annual Members Meeting, held each October or November, where the membership votes on them.

  • Review the bylaws for provisions that are outdated, unclear, or inconsistent with current practice.
  • Draft proposed amendments and bring them to the Board of Directors.
  • Circulate proposed revisions to the membership before the Annual Members Meeting.
  • Track changes in California nonprofit law that bear on the association's governing documents.

Good to know

The members have the last word

Under Article IX, the Board may amend some provisions on its own, but any change that affects members' rights, classes, or voting requires approval by the Voting Members. Members receive at least ten days' notice of the meeting, along with a copy of the proposed amendments or a link to them. (Bylaws, Art. IX.)

You don't have to be on the Board

Committee chairs and members are drawn from the whole membership, not just the Board. The President nominates each committee's chair and a majority of the Board approves the selection. (Bylaws, Art. VI, § C.)
